We are looking for a Corporate Counsel. This position will be based in Washington, DC and will follow a hybrid work model.

The person in this position will provide strategic legal advice while also taking a hands-on approach to governance, corporate restructuring, complex commercial transactions, and corporate specialty functions. 

You’ll make an impact by:

  • Providing practical, business-oriented legal support across corporate governance, entity management, commercial transactions, supply chain management, government affairs, sustainability, and shared services operations.
  • Supporting Board, shareholder, subsidiary, and secretarial matters, including preparation and review of resolutions, powers of attorney, governance materials, corporate records, and related documentation.
  • Managing entity lifecycle activity, including formations, dissolutions, mergers, jurisdictional registrations, corporate record updates, entity data accuracy, and coordination with internal stakeholders and external service providers.
  • Providing end-to-end legal support for internal restructuring transactions, including due diligence, corporate structure review, documentation, approvals, closing coordination, and post-closing governance updates.
  • Drafting, reviewing, and negotiating commercial agreements, including supply, procurement, service, outsourcing, and shared services agreements, while also advising on contract performance, risk mitigation, and claims management.
  • Serving as a trusted legal partner to business stakeholders by translating legal requirements into clear, actionable guidance that balances legal risk, operational needs, and Siemens’ governance framework.
  • Supporting legal and compliance needs related to regulatory developments, government interactions, lobbying activities, Political Action Committees, ESG initiatives, sustainability regulations, and related disclosures.
  • Training and advising stakeholders on governance, regulatory compliance, and substantive legal issues. 
  • Contributing to the legal department initiatives, template creation, and knowledge resources. 
  • Collaborating across a global, matrixed organization to align legal strategy, and strengthen internal best practices.

Basic Qualifications:

  • Juris Doctor from an accredited law school.
  • Licensed to practice law in at least one U.S. jurisdiction and eligible to obtain in-house counsel licensure, if required.
  • 8+ years of experience in corporate, transactional, governance, commercial, and regulatory work, with demonstrated ability to handle matters with senior-level independence and judgment
  • Drafting, reviewing, and negotiating legal documents, including governance materials, corporate restructuring agreements, all types of commercial transactional documents, and related legal materials.
  • Supporting corporate governance, subsidiary management, entity records, transactions, registrations, filings, approvals.
  • Demonstrated ability to independently manage complex legal matters end-to-end in a high-volume, fast-paced environment with competing priorities and tight deadlines.
  • Advanced drafting, negotiation, analytical, communication, and stakeholder-management skills, with the ability to provide clear legal guidance to business partners and leaders.
  • Ability to travel occasionally, as business needs require.
  • Proficient in English both written and verbal
  • Legally authorized to work in the United States on a continual and permanent basis without company sponsorship.

Preferred Qualifications:

  • Experience in a corporate legal department, law firm, or similar environment advising on corporate governance, internal reorganizations, and commercial transactions.
  • Experience advising clients and supporting supply chain management, internal or external service providers, government affairs, sustainability, and regulated business matters.
  • Experience partnering with internal and external stakeholders, including cross-functional stakeholders across jurisdictions and cultures.
  • Service as a legal partner to key business functions, providing comprehensive legal support across a broad range of commercial and operational matters, including structuring, drafting, negotiating, and advising on agreements and transactions in support of business objectives.
  • Skilled at overseeing entity lifecycle management and corporate housekeeping.
  • Familiarity with corporate governance frameworks for multiple related entities, corporate secretarial processes, entity management systems, legal databases, legal research tools, standard office technology, and AI-enabled productivity tools.
  • Track record of improving templates, legal processes, knowledge resources, operating practices, or governance tools.

  • Excellent communication skills and collaborative approach with the ability to work effectively in a global, matrixed organization.

The pay range for this position is $151,511 - $259,733 annually with a target incentive of of the base salary. The actual wage offered may be lower or higher depending on budget and candidate experience, knowledge, skills, qualifications, and premium geographic location.
